Acceptable Use Policy

1. Acceptance and Scope

This Acceptable Use Policy ("Policy") governs use of the sportsbug.com website (the "Site") and the SportsBug synchronized live audio streaming technology and related services (the "Service"), operated by SportsBug, LLC ("SportsBug," "we," "us," or "our"). The Service is typically delivered inside applications operated by our team, league, school, and broadcaster partners. By accessing the Site or listening through the Service, you agree to this Policy. If you do not agree, do not use the Site or the Service.

When you access the Service inside a partner's app, the partner's own terms of use also apply. If this Policy conflicts with a partner's terms with respect to the partner's app, the partner's terms control within that app.

2. License and Personal Use

Subject to this Policy, SportsBug grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and listen to audio streams delivered by the Service for your personal, non-commercial use. All other rights are reserved.

The play-by-play broadcasts, audio content, and related programming delivered through the Service are owned by or licensed to our team, league, school, and broadcaster partners and are protected by copyright and other intellectual property laws. Nothing in this Policy grants you any right or license in that content beyond personal listening.

3. Prohibited Uses of the Streams

You may not, and may not assist or permit any third party to:

• Record, copy, download, store, or archive any audio stream or any portion of one;
• Rebroadcast, retransmit, restream, publicly perform, or redistribute any stream, in whole or in part, through any medium, including radio, internet streaming, social media, or public address systems;
• Use any stream for a commercial purpose, including charging for access, using streams to draw patrons to a business, or incorporating streams into any product, service, or event without a written agreement with SportsBug and the applicable rightsholder;
• Create derivative works from any stream, including synchronizing stream audio with video or other content for distribution;
• Remove, alter, or obscure any trademark, sponsorship element, or proprietary notice contained in a stream; or
• Use any stream, or data derived from one, in connection with gambling or wagering products or services without a written agreement with SportsBug and the applicable rightsholder.

4. Prohibited Technical Conduct

You may not, and may not assist or permit any third party to:

• Circumvent, disable, or interfere with any access control, geographic or venue restriction, digital rights management, or other content protection measure;
• Access the Site or the Service using any robot, spider, scraper, or other automated means, or harvest or extract data from either, including for data mining or for training artificial intelligence models, except for standard public search engine indexing of the Site;
• Decompile, reverse engineer, disassemble, or attempt to derive the source code, architecture, or protocols of the Service;
• Probe, scan, or test the vulnerability of the Site or the Service, or breach or circumvent any security or authentication measure;
• Interfere with or disrupt the operation of the Site or the Service, including by transmitting malware, flooding, or denial-of-service attacks, or by imposing an unreasonable load on our infrastructure;
• Frame, mirror, or embed the Site or any stream without our prior written consent; or
• Misrepresent your identity or affiliation, impersonate any person or entity, or falsify headers or identifiers to disguise the origin of any transmission.

5. General Conduct

You may not use the Site or the Service for any unlawful purpose, in violation of any applicable law or regulation, or in any manner inconsistent with this Policy. If any feature of the Site or the Service permits you to submit content or communications, you may not submit anything that is defamatory, harassing, threatening, obscene, hateful, infringing, or that violates any third party's rights.

6. Copyright Complaints

We respect intellectual property rights and expect users to do the same. If you believe content available through the Site or the Service infringes your copyright, send a notice containing the information required by 17 U.S.C. § 512(c)(3) to legal@sportsbug.com with the subject line "Copyright Notice." We will respond to valid notices consistent with the Digital Millennium Copyright Act, including removing or disabling access to infringing material and, where appropriate, terminating repeat infringers.

7. Enforcement

We may investigate suspected violations of this Policy and may suspend, restrict, or terminate access to the Site or the Service, in whole or in part, at any time and without prior notice, for any violation or suspected violation. We may also cooperate with law enforcement and with our partners in investigating unlawful conduct, and may pursue any other remedy available to us at law or in equity. Rightsholders whose broadcasts are carried on the Service are intended beneficiaries of Sections 2 through 4 of this Policy and may enforce them with respect to their own content.

8. Disclaimers and Limitation of Liability

The Site and the Service are provided "as is" and "as available," without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site or the Service will be uninterrupted, error-free, or free of harmful components, or that any stream will be available at any particular time, venue, or level of quality.

To the maximum extent permitted by law, SportsBug and its officers, members, employees, agents, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of, or inability to use, the Site or the Service, even if advised of the possibility of such damages. To the maximum extent permitted by law, SportsBug's total aggregate liability arising out of or relating to the Site or the Service will not exceed one hundred US dollars ($100). Some jurisdictions do not allow certain limitations, so some of these limitations may not apply to you.

9. Indemnification

You agree to indemnify, defend, and hold harmless SportsBug and its officers, members, employees, agents, and partners from and against any claims, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or relating to your violation of this Policy or your misuse of the Site or the Service.

10. Governing Law and Venue

This Policy and any dispute arising out of or relating to it, the Site, or the Service are governed by the laws of the State of Texas and applicable federal law, without regard to conflict of laws principles. You agree that any such dispute will be brought exclusively in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts. Nothing in this section limits SportsBug's right to seek injunctive relief in any court of competent jurisdiction to protect its intellectual property or the integrity of the Service.

11. Changes; Severability; Entire Policy

We may revise this Policy from time to time by posting the updated version on the Site with a revised "Last updated" date. Material changes will be effective upon posting unless a later date is stated. Your continued use of the Site or the Service after a change takes effect constitutes acceptance of the revised Policy. If any provision of this Policy is held unenforceable, the remaining provisions will continue in full force and effect. This Policy, together with our Privacy Policy, constitutes the entire agreement between you and SportsBug regarding acceptable use of the Site and the Service.
